Preamble

These Terms and Conditions (hereinafter "T&Cs") govern all contractual relationships between S&N Studio SASU, registered in the Paris Trade Register under number 99184248500013, with its registered office at 10 rue de Penthièvre, 75008 Paris, trading under the name Synerium (hereinafter "Synerium" or "the Service Provider"), and any natural or legal person subscribing to one of its offers (hereinafter "the Client").

Any subscription implies full and unreserved acceptance of these T&Cs. Synerium may amend these T&Cs at any time, without minimum notice, by simply updating them on synerium.fr. The online version prevails in all circumstances. Continued use of the service after any modification constitutes acceptance of the updated T&Cs.

The Client is responsible for regularly reviewing the T&Cs available on synerium.fr. The version published on the website is the only contractually applicable version.

General Provisions — Art. 1 to 4

Article 1 — Identification of the Service Provider

The signatory or validator of the subscription declares having the legal capacity to enter into contracts. For legal entities, the signatory declares being duly authorised to bind the entity.

Article 2 — Definitions

  • Infinity : Monthly subscription to unlimited production of digital deliverables, available in Starter, Premium, Ultimate, Infinity Plan and Titan tiers.
  • Studio : Website creation offer financed over 36 months via a LOA Partner, including monthly credits.
  • Essential Offer : Single, free and non-renewable access to Synerium services, allowing the production of one Design deliverable with no financial commitment or subscription. The Essential Offer is not a subscription and involves no direct debit or automatic renewal.
  • Deliverable : Any item produced by Synerium in response to a ticket submitted on the Platform.
  • SLA : Delivery time in guaranteed business days for each type of deliverable, as defined in Article 11.
  • Studio Credit : Unit allowing a Studio Client to request additional deliverables on their website each month.
  • 24h Assessment : Preliminary analysis procedure for a complex request within 24 business hours, allowing Synerium to define the SLA and scope before starting.
  • Platform : The online interface at synerium.fr allowing the Client to submit tickets, track their progress and manage their subscription.
  • Ticket : A formalised request submitted by the Client on the Platform, including a complete Brief.
  • Brief : All information, files and access provided by the Client enabling Synerium to start and execute a deliverable.
  • LOA Partner : Third-party financial organisation with which the Studio Client contracts to finance their website.
  • Fast Track : Absolute priority option in the production queue, available only on the Titan plan.
  • Production slot : Processing capacity for one active request at any given time. One production slot means only one deliverable is handled at a time. A two-slot plan allows two deliverables to be processed simultaneously. The number of slots defines processing speed, not the total volume of deliverables that can be ordered, which is unlimited. Pending requests are queued and processed in order of submission as soon as a slot becomes free.
  • Additional production slot : Paid option to temporarily add an active production slot to the current subscription without changing plan.

Article 3 — Scope and acceptance

These T&Cs apply to all Synerium offers for Clients established in France, Belgium and Switzerland. For Clients established outside France, French law remains applicable unless overriding mandatory provisions of local law apply.

Acceptance occurs via electronic validation on the Platform. It is firm, irrevocable and constitutes a contractual commitment as of validation.

Article 4 — Essential Offer

4.1 Description and access conditions

The Essential Offer is a free access offer to Synerium services, designed to allow any new entity (natural or legal person) to test Synerium's production quality without financial commitment. The Essential Offer is not a subscription: it generates no automatic direct debit, no automatic renewal and no contractual commitment beyond the deliverable produced.

The Essential Offer is subject to the following cumulative conditions:

  • One use per natural person, regardless of the email address used. Creating multiple accounts to benefit from the Essential Offer more than once is prohibited.
  • One use per legal entity (company, association, organisation), regardless of the representative.
  • Accessible only to Design department deliverables. Marketing and Development departments are excluded from the free trial.
  • Limited to one request, including a maximum of two revision cycles.
  • The deliverable is processed according to the standard Starter plan SLA, without any priority in the production queue.

Any attempt to circumvent the Essential Offer limit (use of multiple email addresses, creation of multiple accounts, false identity or legal entity declaration) constitutes fraud. Synerium reserves the right to permanently block access to the Platform and to claim a fixed penalty of €500 excl. VAT per detected fraud attempt, without notice and without possibility of appeal.

4.2 Limitations and absence of commitment

The Essential Offer does not constitute an Infinity subscription and does not entitle the holder to any advantages of paid plans: no priority in the production queue, no project manager, no Fast Track, no dedicated production slot.

Subscribing to the Essential Offer does not commit the Client to a paid subscription. No automatic direct debit is set up. Creating an Essential account generates no financial obligation and implies no renewal of any kind.

The Essential Offer is distinct from any Infinity plan. A Client wishing to subscribe to an Infinity plan after benefiting from the Essential Offer must make a separate and explicit subscription on the Platform. No automatic conversion of the Essential Offer into a paid subscription can occur without the Client's voluntary action.

Synerium reserves the right to suspend or discontinue the Essential Offer at any time, without notice, and this shall not constitute an acquired right for new subscriptions. Clients who have already initiated their Essential request at the time of suspension will have their deliverable completed.

4.3 Intellectual property on the Essential deliverable

The deliverable produced under the Essential Offer is delivered to the beneficiary upon subscription to a paid Infinity plan within 30 days of delivery. In the absence of a subscription within this period, the deliverable remains the property of Synerium and may not be used commercially, for advertising or promotional purposes by the beneficiary. The deliverable may be viewed but any exploitation is conditional on subscription.

4.4 Google review incentive — Essential Offer

Any Client who has benefited from the Synerium Essential Offer and has subscribed to a Starter plan may receive 3 days of Starter subscription free of charge in exchange for posting an authentic and sincere review on Synerium's Google My Business profile. The review must freely and honestly reflect the Client's experience, with no content condition or minimum rating imposed by Synerium.

The 3-day credit is applied to the Starter subscription upon Synerium's validation of the review publication. One credit per natural person and per legal entity. The review must remain published on Google at the time the credit is applied; any withdrawal before the credit is applied cancels the benefit.

In accordance with Directive 2019/2161 (Omnibus Directive) as transposed into French law, Synerium does not condition this benefit on a minimum rating or specific wording. This benefit rewards the time taken to share a sincere experience. The Client posts their review independently. Synerium reserves the right not to validate a review that is manifestly fraudulent or not in compliance with Google's terms of use.

Infinity Offer — Art. 5 to 7

Article 5 — Infinity Offer

5.1 Description and plans

The Infinity offer is a monthly subscription giving access to unlimited deliverable production according to the subscribed plan. Deliverables are processed sequentially on one or two active production slots.

5.2 Annual offer

12-month commitment with monthly billing. 2 months free (10 months billed for 12). In case of early termination before the end of the 12 months, all remaining monthly fees become immediately due.

5.2b Automatic renewal of annual subscription

Thirty days before the end of a current annual subscription, Synerium notifies the Client by email to the subscription address. Without a cancellation request within this 30-day period, the contract is automatically renewed for a new 12-month period at the same pricing conditions then in force. The Client may not invoke a lack of notification if the email address provided is incorrect or inactive.

5.3 Commitment, cancellation and non-payment

Minimum commitment of 3 months. Thereafter, monthly automatic renewal. Cancellation by email to contact@synerium.fr with 30 days' notice. The current month is due in full, without refund or pro-rata.

In the event of a direct debit opposition, bank rejection, chargeback or any action aimed at preventing collection of amounts due, all remaining sums until the end of the commitment period become immediately payable as of right, without formal notice. A fixed penalty of €150 excl. VAT is applied per incident, as a management fee. Synerium suspends access to the Platform within 24 hours.

In the event of a failed direct debit without a formal opposition, Synerium attempts a new debit within 5 business days. Without regularisation within 7 days following formal notice by email, access is suspended. Suspension does not constitute termination and does not release the Client from its obligations.

5.4 Pricing changes

Synerium may amend its prices at any time by updating the T&Cs on synerium.fr. The Client is notified by email with 30 calendar days' notice. In the absence of cancellation within this period, the Client is deemed to have accepted the new prices.

5.5 Personal use and non-transferability

The Infinity subscription is taken out in the name of a single legal entity. It may be used by multiple collaborators within that entity. It may under no circumstances be used for the benefit of a distinct entity.

It is strictly prohibited to use the subscription to produce deliverables intended for third parties (friends, associates, clients, partners or any entity legally distinct from the subscribing Client), whether free of charge or for consideration. Any proven use for the benefit of a third party constitutes grounds for immediate termination without refund, with all remaining sums becoming due.

The subscription is non-transferable, non-assignable and non-shareable between distinct entities.

5.6 Definition of "unlimited" and anti-abuse

"Unlimited" means the ability to submit an unlimited number of tickets with unlimited revisions, subject to sequential processing on the available production slots.

In the event of manifestly abusive use (repetitive identical requests, volume inconsistent with a real commercial activity, attempt to saturate the production queue), Synerium may, after notification by email, temporarily cap the number of requests or suspend processing until regularisation.

5.7 Requests in progress at termination

At the effective date of termination, requests in progress are processed according to their stage of completion as assessed solely by Synerium. If the deliverable is more than 50% complete, it is finalised and delivered. If less than 50%, the request is cancelled without compensation. Synerium notifies the Client by email.

5.8 SLA and credit consumption reference by department

The table below constitutes the contractual reference for delivery times (SLA) applicable to all Infinity subscriptions, and the credit costs applicable to Studio clients for deliverables outside automatic maintenance. SLAs are counted in business days from receipt of a complete Brief (see Article 11).

The Marketing department is available from the Premium plan. Studio credits do not apply to the Marketing department (Studio offer = website only).

The Development department is available from the Ultimate plan. The "Studio Credits" column applies to Studio clients for deliverables outside included maintenance. "Assessment" = number of credits defined after a 24h preliminary analysis.

Article 6 — Dedicated Project Manager

The Infinity Plan and Titan plans include a dedicated Project Manager, who acts as the Client's single point of contact for the operational management of the subscription.

  • Reachable by phone Monday to Friday, 9am to 6pm, excluding French public holidays.
  • A monthly follow-up meeting is organised by video call: deliverable review, prioritisation, strategic adjustments.
  • The Project Manager may, at their discretion, log a verbal request but the Client remains responsible for formalising it on the Platform as a ticket. Only the ticket triggers the SLA.

The presence of a Project Manager does not exempt the Client from submitting requests on the Platform. All deliverable requests, contractual changes, cancellations and complaints must be formalised through the Platform.

Article 7 — Commercial options and cross-selling

7.1 Fast Track — Titan plan only

The Titan plan includes a Fast Track option allowing the Client to place a request at the absolute top of the production queue. The request is processed immediately after the deliverable currently in progress, before all other requests. Fast Track is available without limit on Titan only. It is not available on other plans.

7.2 Additional production slot

Any Infinity Client may add an additional production slot for one calendar month, renewable with 15 days' notice.

7.3 Studio welcome credit

Every new Studio Client receives 50 credits free of charge in the first month, non-rollover and non-convertible into cash.

7.4 Studio quick-start pack

Upon Studio subscription, the Client may purchase 300 additional credits for the first month at a price of €299 excl. VAT. Non-rollover.

7.5 Cross-discount Studio / Infinity

Active Studio client subscribing to Infinity: 15% discount on the Infinity subscription for the entire remaining duration of the Studio contract.

Active Infinity client subscribing to Studio: 10% discount on the total Studio contract amount, applied upon signing. These discounts are not cumulative with other offers.

7.6 Plan downgrade

A downgrade takes effect at the next monthly billing date, without fees or penalty, provided the minimum 3-month commitment has been respected. Not available on current annual subscriptions.

7.7 Referral programme

Any Client who has referred a new active Infinity Client benefits from one month's subscription free of charge, credited on the next invoice. Limited to one benefit per new referred Client.

Studio Offer — Art. 8 to 9

Article 8 — Studio Offer

8.1 Description and plans

The Studio Offer is a professional website creation offer financed over 36 months via a LOA Partner. The Client contracts directly with the LOA Partner for the financing of their project.

8.2 Hosting and backups

Studio websites are hosted on OVH servers located in France, in compliance with GDPR. OVH provides regular automatic backups. In the event of a technical incident, Synerium proceeds with restoration as soon as possible, without a guaranteed fixed timeframe. The Client does not have direct access to backups.

Any data loss resulting from a Client action in their back-office does not engage Synerium's liability. Restoration following a client-side action is treated as a development deliverable with SLA and credit consumption.

8.3 Website ownership and LOA regime

During the entire duration of the contract, the source code is not handed over to the Client and may not be extracted, reproduced or transferred without prior written agreement.

In the event of the definitive cessation of Synerium's activities as duly established, the source code is handed over to the Client free of charge within 30 calendar days.

8.4 End-of-contract options

  • Renewal: new Studio contract with a redesign included.
  • Source code purchase: €1,500 excl. VAT flat fee. Synerium hands over all files and assists with migration.
  • Termination: website suspended at expiry without compensation.

8.5 Early exit

Early exit option exercisable from the 18th month, subject to source code purchase at €1,500 excl. VAT. Monthly fees remaining due to the LOA Partner remain payable.

8.6 LOA liability and non-payment

Synerium is not a party to the financing contract. In the event of non-payment notified to Synerium, access to the website may be suspended within 30 calendar days following written notification to the Client.

Article 9 — Studio Credits

9.1 How it works

Monthly credits may only be used on the website created under the current Studio contract. Non-rollover, non-refundable, non-transferable.

9.2 Rules

  • Routine Studio website maintenance is handled automatically without credit consumption.
  • Bugs introduced by Synerium are corrected with absolute priority and without credit consumption.
  • Credits may only be used on the current Studio website, not on third-party projects.

9.3 Credit consumption by deliverable type

Credit costs by deliverable type are defined in Article 5.8 (SLA and credit reference table by department). These values are indicative and may be adjusted by Synerium based on the actual complexity of the request, after a 24h Assessment if necessary.

Deliverables subject to "24h Assessment" undergo a preliminary evaluation of the number of credits required before starting. Synerium submits the credit quote to the Client for validation. The "Studio Credits" column in Article 5.8 lists all reference values.

Technologies & Deliverables — Art. 10 to 12

Article 10 — Supported technologies — Development Department

For CMS platforms (Drupal, Joomla, Magento, OpenCart, OsCommerce), Synerium may intervene on all standard features. Any intervention on custom code developed by a third-party provider may be refused by Synerium if the state of the code, its complexity or the absence of documentation makes the intervention technically risky or impossible. Such refusal does not constitute a contractual breach.

Any technology not on the accepted technologies list is excluded as of right. Synerium may refuse any request involving an unlisted technology, without justification, substitution or refund.

10.3 Versioning, Git and cooperation with third-party providers

Synerium works according to its own branch management and Git commit standards. Synerium is under no obligation to coordinate or cooperate with third-party providers (other developers, agencies, freelancers) working on the same repository or project.

In the event of simultaneous intervention by a third-party provider on the same codebase, Synerium is not responsible for merge conflicts, regressions or incompatibilities caused by third-party commits. The SLA is automatically suspended in the event of a blocking conflict caused by an external commit. Cooperation with third-party providers is decided on a case-by-case basis by Synerium and cannot be imposed.

10.4 State of existing codebase

Synerium reserves the right to refuse any intervention on a codebase presenting structural problems that make the intervention risky or impossible: absence of documentation, incoherent architecture, outdated dependencies, nulled modules, corrupted database, unresolved conflicts, incomplete access. Such refusal does not constitute a contractual breach and does not give rise to any compensation.

When Synerium accepts to intervene on a codebase in poor condition, its liability is strictly limited to the validated scope. Any pre-existing malfunction or one caused by the state of the existing code does not engage Synerium's liability. Additional delays caused by the state of the code do not constitute non-compliance with an SLA.

10.5 Access provision

The Client provides all necessary access (FTP/SFTP, back-office, database, hosting provider, Git repository, third-party accounts) within 48 business hours following Synerium's request.

After this period, the SLA is automatically suspended. It resumes only upon effective receipt of all required access. No penalty or compensation may be claimed for delays caused by late provision of access.

10.6 Third-party dependencies

In the event of unavailability, incompatibility or removal of a third-party dependency (plugin, API, module) during the mission, the SLA is suspended until an alternative solution is identified. If no viable solution exists, the mission may be declared unexecutable without compensation.

10.7 Third-party plugin and module licences

Licences for necessary premium plugins and modules are the Client's exclusive responsibility. The absence of a valid licence for a required plugin may result in SLA suspension. Synerium does not cover the cost of third-party licences.

Article 11 — Service Level Agreements (SLA) and Timelines

11.1 Delivery commitment

Synerium commits to delivering each deliverable within the announced SLA from receipt of a complete Brief. SLAs are expressed and counted exclusively in business days.

Saturdays, Sundays and French public holidays are not business days and are not counted in the SLA calculation. Synerium's production is suspended on these days. A request submitted on a Friday evening has its SLA starting the following Monday morning. A request submitted the day before a public holiday has its SLA resuming on the first following business day. This rule applies without exception, regardless of the subscribed plan.

11.2 Automatic SLA suspension

  • Incomplete Brief: SLA resumes upon receipt of a complete Brief.
  • No intermediate validation within 5 business days: SLA suspended until response.
  • Access not provided within 48 hours (Art. 10.5).
  • Failing third-party dependency (Art. 10.6).
  • Git conflicts caused by third-party commits (Art. 10.3).
  • Force majeure.

11.3 Tacit validation

If the Client raises no objection within 5 business days following delivery on the Platform, the deliverable is deemed validated and accepted without reservation. No free modification may be requested on a tacitly validated deliverable.

11.4 Brief modification during production

If the Client requests a fundamental change to the Brief while the deliverable is in production, the initial request is considered consumed. A new request must be submitted. The SLA restarts from zero. Work already completed remains due.

11.5 Request abandonment

If the Client does not provide a complete Brief within 10 business days following a request for additional information from Synerium, the ticket is automatically archived. The production slot is freed. The Client may reopen the ticket without guaranteed priority. No refund or credit is granted for an archived ticket.

11.6 SLA breach — exclusive remedy

In the event of an SLA overrun of more than 5 consecutive business days attributable exclusively to Synerium, the Client benefits from a free extension of their subscription equivalent to the observed delay, limited to 7 business days per incident.

This extension is the sole and exclusive remedy available. No refund, credit note, compensation or damages may be claimed for non-compliance with an SLA.

11.7 – 11.9 SLA tables by department

Complete SLA tables by department (Design, Marketing, Development) are defined in Article 5.8, which constitutes the sole contractual reference for SLAs and Studio credits per deliverable.

Article 12 — Delivery formats and source files

12.1 Default output formats

Formats delivered according to the nature of the deliverable: high-definition PDF and 300 dpi PNG (print), SVG and PNG (digital graphic elements), JPEG (web visuals), native PPTX (presentations).

12.2 Source files

Source files (AI, PSD, Figma) are not included in the standard delivery. They may be requested as an additional deliverable subject to Synerium's prior approval. Synerium reserves the right to refuse delivery of source files.

12.3 Fonts and licences

Synerium uses commercially free fonts by default. If the Client requests specific commercial fonts, licences are their exclusive responsibility. Synerium accepts no liability for unlicensed use of a font supplied by the Client.

12.4 Images, illustrations and AI-generated content

Synerium uses royalty-free image libraries and may use artificial intelligence image generation tools. The Client accepts this practice upon subscribing.

AI-generated elements may not be protectable by copyright in certain jurisdictions. Synerium does not guarantee exclusivity or full rights protection for such elements.

If the Client requests visuals from premium image libraries, licences are their exclusive responsibility.

12.5 File storage

All produced deliverables are available on the Platform for the duration of the subscription.

Synerium guarantees storage of deliverables for a minimum of 30 days after the end of the contract. After this period, Synerium may delete files without notice for technical storage reasons. The Client is responsible for retrieving their deliverables before this deadline.

12.6 Modification of a deliverable after validation

If the Client modifies a deliverable themselves after validation and this modification causes a malfunction or degradation, Synerium is not liable. Any subsequent intervention is treated as a new request.

Contractual Terms — Art. 13 to 20

Article 13 — Synerium's Operational Independence

13.1 Exclusive scope of intervention

Synerium intervenes exclusively on tickets submitted on the Platform by the subscribing Client. Synerium does not work in direct collaboration with the Client's third-party providers (agencies, designers, developers, consultants, external project managers) and is not a party to their contractual relationships.

Synerium does not coordinate its actions with third-party providers, does not participate in external team meetings, does not respond to direct solicitations from third-party providers acting on behalf of the Client, and is not bound by directives or constraints issued by parties external to the subscription. Any request, even transmitted by a third party mandated by the Client, must be formalised by the Client themselves on the Platform.

13.2 No guarantee of compatibility with third-party work

Synerium does not guarantee the compatibility of its deliverables with work carried out by third-party providers, whether in design, development, SEO or marketing. In the event of a conflict between a Synerium deliverable and elements produced by a third party, Synerium's liability may not be engaged.

Article 14 — Use of the Platform

14.1 Single communication channel

All deliverable requests must mandatorily be submitted via the Synerium Platform as a ticket. No request transmitted by email, phone, WhatsApp, Slack or any other channel is accepted or commits Synerium to an SLA. Only the ticket submitted on the Platform triggers the SLA and constitutes a contractual commitment.

All cancellation requests, contractual changes or complaints must be made via the Platform or by email to contact@synerium.fr. Requests transmitted by other channels will not be processed.

14.2 Platform availability

Synerium ensures Platform availability on a best-effort basis. Scheduled maintenance may be carried out with 24 hours' notice by email. In the event of emergency maintenance, Synerium informs the Client as soon as possible.

14.3 Notification proof

Emails sent to the address provided at the time of subscription constitute valid proof of notification. The Client is responsible for maintaining a valid email address.

Article 15 — Payment terms

15.1 Billing and payment methods

Subscriptions are billed monthly on the subscription anniversary date. Payments by credit card or SEPA direct debit via Stripe. The Client authorises Synerium to automatically debit their account at each billing date. Invoices are available on the Platform.

15.2 Non-payment and penalties

Any sum unpaid at its due date automatically generates penalties at three (3) times the statutory interest rate, without formal notice, in accordance with Articles L.441-6 and D.441-5 of the French Commercial Code. A flat recovery indemnity of €40 is applicable as of right. In the event of opposition or chargeback, a fixed penalty of €150 excl. VAT per incident applies (Art. 5.3).

15.3 VAT and taxes

Prices are quoted excl. VAT. VAT is applied at the time of billing. EU Clients with a valid intra-community VAT number: reverse charge applies. Swiss and non-EU Clients: no French VAT is charged; the Client is responsible for local taxes due in their country.

Article 16 — Intellectual Property

16.1 Infinity deliverables

Upon full payment of the monthly subscription, the Client acquires full ownership of the rights to the deliverables produced: reproduction, representation, adaptation, commercial exploitation, without geographical or time limitation.

16.2 Studio source code

The source code remains Synerium's exclusive property for the entire duration of the contract. Transfer only in the event of a purchase at €1,500 excl. VAT or definitive cessation of Synerium's activities.

16.3 Portfolio and communication rights

Synerium automatically holds, from the date of delivery, the right to mention the completion of projects in its portfolio, website, social media and all communication materials, for commercial and promotional purposes.

The Client may exercise a right of objection by email to contact@synerium.fr. The objection takes effect within 15 business days. In the absence of objection within 30 days following the first delivery, the right is deemed accepted for the entire project.

Article 17 — Subcontracting and assignment

Synerium may call upon subcontractors without prior notification to the Client. Synerium remains solely responsible to the Client. Subcontractors are subject to the same confidentiality obligations.

Synerium may assign the contract in the event of a merger, acquisition or restructuring, with 30 days' notice. The Client may not assign their subscription without prior written agreement. Any unauthorised assignment is null and void and constitutes grounds for immediate termination.

Article 18 — Specific liabilities — Marketing Department

18.1 Advertising budgets and results

Advertising budgets (Google Ads, Meta Ads, LinkedIn Ads) are entirely the Client's responsibility, separate from the subscription. The Client approves budgets before any activation. Synerium is not responsible for campaign results (ROAS, CPL, CPA, impressions, conversion rates). No results guarantee is given for organic search engine optimisation.

18.2 Ownership of advertising accounts

Any account created by Synerium in the Client's name (Google Ads, Meta Business Manager, Analytics, Search Console) belongs to the Client. Upon termination, Synerium returns access within 5 business days.

18.3 Email deliverability and publication liability

Synerium is not responsible for the deliverability rates of email deliverables. The Client is solely responsible for publishing Marketing deliverables. Synerium may not be held liable for the consequences of a publication (public reactions, commercial disputes, regulatory breaches).

Article 19 — Client obligations and responsibilities

19.1 Brief and accurate information

The Client provides accurate and complete information. In the event of an erroneous Brief requiring rework, the SLA restarts from zero. Work already completed remains due.

19.2 Supplied content and regulatory compliance

The Client warrants holding all rights to the elements supplied and indemnifies Synerium against any claims arising from their use. The Client is solely responsible for the compliance of deliverables with legal obligations applicable to their sector (GDPR, e-commerce regulations, misleading advertising, sector-specific regulations). Unless an explicit compliance contract has been subscribed, Synerium does not verify regulatory compliance.

19.3 Unlawful content

The Client is prohibited from requesting the production of unlawful, defamatory or third-party rights-infringing deliverables. Synerium may refuse any request contrary to applicable law, without substitution and without refund.

19.4 Non-solicitation

During the term of the contract and for 12 months following its end, the Client is prohibited from directly recruiting, soliciting or engaging any member or subcontractor of the Synerium team. Violation: fixed penalty equivalent to 6 months' subscription at the subscribed plan rate.

19.5 Confidentiality of commercial terms

The Client undertakes not to publicly disclose negotiated prices, discounts granted or specific commercial conditions.

Article 20 — Liability and limitation

20.1 Limitation of liability

Synerium's liability may only be engaged in the event of proven fault. It is limited to the amounts actually received during the three months preceding the triggering event. Synerium is not liable for indirect damages, business interruption losses, loss of profit or data loss.

20.2 Artificial intelligence tools

Synerium may use generative artificial intelligence tools in its production. In the event of unavailability of these tools caused by their publishers, SLAs may be impacted without engaging Synerium's liability.

20.3 Force majeure

Synerium may not be held responsible for any delay caused by a force majeure event within the meaning of Article 1218 of the French Civil Code.

Termination, GDPR & Disputes — Art. 21 to 25

Article 21 — Termination for cause

Synerium may terminate the contract as of right with immediate effect and without refund in the following cases:

  • Use of the subscription for the benefit of third parties (Art. 5.5).
  • Uncorrected abusive use after notification (Art. 5.6).
  • Production of unlawful content or content infringing third-party rights (Art. 19.3).
  • Provision of false information at the time of subscription.
  • Persistent non-payment after two formal notices.
  • Breach of the non-solicitation clause (Art. 19.4).
  • Attempt to circumvent Platform security measures.
  • Fraud on the Essential Offer (Art. 4.1).

In the event of termination for cause, all remaining sums until the end of the commitment period are immediately payable.

Article 22 — Confidentiality and personal data

Mutual confidentiality obligation for the duration of the contract and for 3 years after its end, regardless of the cause. The processing of personal data is governed by the Privacy Policy available on synerium.fr/confidentialite, compliant with GDPR. Data hosted on servers located in France or in the EU.

Article 23 — Specific provisions for consumers (B2C)

23.1 Scope

The provisions of this article apply exclusively to Clients acting as consumers within the meaning of French consumer law, i.e. any natural person acting for purposes outside their commercial, industrial, artisanal, professional or agricultural activity. For professional Clients, Articles 1 to 22 apply exclusively.

23.2 Minimum age

Subscription to any Synerium offer is reserved for adults (18 years or older). By subscribing, the consumer Client declares being of legal age. Synerium reserves the right to terminate any contract entered into by a minor, without compensation.

23.3 Pre-contractual information

In accordance with Articles L221-5 and following of the French Consumer Code, the consumer Client benefits from complete pre-contractual information before any subscription, available on the Platform: essential service characteristics, price, contract duration, cancellation conditions and right of withdrawal.

23.4 Price display

Prices displayed on synerium.fr are quoted excl. VAT, as the target clientele is primarily professional. For consumer Clients, VAT at the applicable rate is added to the displayed excl. VAT price. The applicable incl. VAT amount is specified on the order confirmation sent to the consumer.

23.5 Express waiver of right of withdrawal

In accordance with Article L221-28 12° of the French Consumer Code, the 14-day right of withdrawal does not apply to digital content whose execution has begun with the consumer's prior and express agreement, who has expressly waived their right of withdrawal.

At subscription, the consumer Client checks an active checkbox on the Platform worded as follows: "I expressly request the immediate start of the service and waive my 14-day right of withdrawal in accordance with Article L221-28 of the French Consumer Code." This action constitutes an express, voluntary and informed waiver. From the submission of the first ticket on the Platform, service execution is deemed to have commenced. The first month's subscription is due in full, without possibility of refund.

This waiver must be technically implemented on the Platform as an active, non-pre-ticked checkbox, in compliance with the requirements of the Consumer Code.

23.6 Automatic renewal — Chatel Law

In accordance with Articles L215-1 and following of the French Consumer Code, for any fixed-term subscription with automatic renewal subscribed by a consumer, Synerium notifies the Client by email between 1 and 15 days before the opening of the period allowing objection to renewal. In the absence of such notification, the consumer Client may terminate the contract free of charge at any time after the renewal date, on simple notification to contact@synerium.fr.

23.7 Non-payment and chargeback — consumer regime

In the event of non-payment by a consumer Client, Synerium suspends access to the Platform after a formal notice by email remaining without effect for 7 calendar days.

For consumer Clients, the clause of immediate payability of all remaining sums in the event of a chargeback (Art. 5.3) is adapted as follows: in the event of a payment dispute, Synerium suspends access to the service and initiates recovery of (i) amounts due for services already rendered, and (ii) an early termination indemnity equivalent to the remaining monthly fees until the end of the minimum commitment period, capped at 3 months' subscription. The fixed penalty of €150 does not apply to consumers.

23.8 Unfair terms

In accordance with Articles L212-1 and following of the French Consumer Code, any clause deemed unfair within the meaning of consumer law shall be deemed unwritten, without affecting the validity of the other provisions.

23.9 Jurisdiction — EU consumers

For consumer Clients residing in a Member State of the European Union or in Switzerland, the jurisdiction clause attributing competence to the Paris Commercial Court applies subject to the mandatory consumer protection provisions applicable in the consumer's country of residence. The consumer may also bring proceedings before the court of their place of domicile in accordance with applicable private international law rules.

23.10 Consumer mediation

In accordance with Articles L611-1 and following of the French Consumer Code, in the event of an unresolved dispute with Synerium, the consumer Client may refer the matter free of charge to an approved consumer mediator. Synerium participates in the mediation scheme of the FEVAD (Fédération du e-commerce et de la vente à distance) e-commerce mediator, accessible at www.mediateurfevad.fr.

The mediation request must be made after exhaustion of direct complaint procedures with Synerium. The European online dispute resolution (ODR) platform is accessible at: https://ec.europa.eu/consumers/odr

23.11 Annex — Withdrawal form (template)

In accordance with Article R221-1 of the French Consumer Code, the standard withdrawal form is as follows:

This form is only applicable if the consumer has not expressly waived their right of withdrawal upon subscription in accordance with Article 23.5. If the waiver was made, this form has no effect.

Article 24 — B2B Mediation and resolution of professional disputes

In the event of a dispute, the parties seek an amicable solution within 30 days following notification by registered letter. Failing that, mediation may be pursued before the Centre de Médiation et d'Arbitrage de Paris (CMAP) before any legal proceedings.

Failing resolution within 60 days, exclusive jurisdiction of the Paris Commercial Court. Belgian and Swiss Clients expressly accept this jurisdiction.

Article 25 — Applicable law and miscellaneous provisions

T&Cs governed exclusively by French law. The French version prevails. If a clause is null and void, the other clauses remain in force.

Synerium reserves the right to amend these T&Cs at any time by simply updating them on synerium.fr. The version published on the website is the only contractually applicable version. Continued use of the service after any modification constitutes acceptance of the updated T&Cs.

These T&Cs constitute the entire agreement and supersede any prior agreement.

These T&Cs are the exclusive property of S&N Studio SASU. Any partial or total reproduction for commercial purposes, in particular for use as a contractual template by a third party, is prohibited without prior written agreement from Synerium.
